Draft pending legal review. Details in brackets still need to be filled in.
These terms govern the purchase and use of the software that [Nombre o razón social] (“Forterix”) sells at forterix.com. By buying, downloading or using our software you agree to these terms.
1. License
When you buy a product you don't acquire the software itself but a non-exclusive, non-transferable license to use it, personally or within your organization, subject to these terms.
- One-time purchase: a perpetual license for the purchased version, including its minor updates. New major versions may be sold separately.
- Subscription: access to the latest version while the subscription is active. When it ends, the software stops working with that license.
- Each license can be activated on up to [number] devices at a time. You can release an activation to use it on another device.
2. Restrictions
- You may not resell, redistribute, sublicense or share your license key.
- You may not decompile, modify or attempt to bypass the licensing system, except where the law expressly allows it.
- You may not use the software for unlawful purposes.
3. Prices, payments and taxes
Payments are processed by an authorized reseller (merchant of record), which will appear as the merchant on your statement and issue your receipt. Applicable taxes are calculated at checkout based on your country. Prices may change, but changes don't affect completed purchases; for subscriptions, we'll notify you before a new price applies.
4. Delivery
After payment you'll receive your license key and download link by email. Download links are personal and may expire; you can always request a new one.
5. Warranty
We work to make the software perform as described and we fix reported bugs. Except where the law provides otherwise, the software is provided “as is”, without warranty that it is error-free or fit for a particular purpose. We recommend backing up your data and testing outside production before making important changes.
6. Liability
To the extent permitted by law, our total liability to you is limited to the amount you paid for the product in the last twelve months. We are not liable for loss of data, loss of profits or indirect damages arising from use of the software.
7. Refunds
Refunds are governed by our Refund policy.
8. Changes to these terms
We may update these terms; we'll publish the new version on this page with its date. Changes don't affect earlier purchases without your consent.
9. Governing law
These terms are governed by the laws of the United Mexican States. Any dispute shall be submitted to the courts of [city], Mexico, without prejudice to the rights granted to you by the consumer protection laws of your country.
